Zinzino announces merger of It Works! into the Zinzino family of businesses for increased distribution power in North America and Europe
Zinzino (publ) (ZZ-B.ST) has today entered into an agreement, and simultaneously closed, to combine with the US-based direct sales company It Works! In an all-share transaction. Through the merger, Zinzino acquired the operational assets of It Works!’ US business, including inventory, distributor agreements, customer agreements, and IP rights, as well as 100% of the shares in It Works! Marketing International UC, an Irish unlimited company, and its wholly owned subsidiaries.
The fixed purchase price amounts to USD 30 million (the “Purchase Price”) which has been paid by Zinzino through a directed set-off issue of 1,843,840 B-shares in Zinzino (the “Directed Issue”). The Directed Issue has been resolved upon by the board of directors of Zinzino, based on the authorization of the Annual General Meeting. The subscription price in the Directed Issue amounts to SEK 145.62 per B-share, which corresponds to the volume weighted average price of Zinzino’s B-share two business days prior to the signing and closing of the transaction. In addition, an additional purchase price estimated to USD 4 million could be paid to It Works! during a five-year span

It Works! Opens First Asian Office In South Korea

It Works! recently opened its first Asian affiliate here, confident that the U.S.-based direct sales company can overcome difficulties in operating such a businesses in Korea.
It Works, founded in 2001, posted $686 million in sales in 2016. It has offices in 22 countries in Europe and Oceania.
For years, the nation’s direct sales market has been regarded as a fierce battlefield.
Fifty companies are registered as members of Mutual Aid Cooperative & Consumer, a mutual aid society of multi-level marketing companies. Some Korean consumers have shown their dislike of such businesses on an online forum named Anti-Amway.
The Fair Trade Commission’s data on the payment gap between the top and bottom layers of recruits has also caused doubts about the revenue model.
But It Works global chief sales officer Mike Potillo, who visited Korea last week to promote the company, was confident the company would be competitive.
He cited the Ultimate Body Applicator, which is exclusively available at It Works, as an example.
Potillo said the non-woven cloth wrap tightened, toned and firmed users’ skin, if they wear the wrap for just 45 minutes.
“Our rivals may market vitamins or skincare products, but they do not have the product like the wrap,” he stated in Seoul last week.

Dick Vitale Accepts $25,000 Donation For His Charity From It Works!

 
Dick Vitale’s relentless passion for finding a cure for pediatric cancer is spreading from his home base in Lakewood Ranch to Palmetto.
The well-known ESPN college basketball broadcaster and Ranch resident recently accepted a $25,000 donation from It Works! Global for his favorite charity, The V Foundation, which raises money for pediatric cancer research.
It Works! Global, a worldwide direct sales marketer of beauty, wellness and weight loss products, headquartered in Palmetto, gave the donation to Vitale last weekend during the company’s Green Carpet Experience annual corporate sales event, which drew a crowd of 4,000 to the Bradenton area.
The company raised money by asking the sales force in attendance to make a donation in exchange for an It Works! Gives Back Foundation T-shirt. CEO Mark Pentecost has worked with Vitale in the past through the Dick Vitale Gala for The V Foundation, which Vitale hosts every year in Sarasota. Pentecost and his wife, Cindy moved to Manatee County three years ago hoping to become involved.
