Avon $135 Million Fine For Bribing Chinese Officials

Avon Products Inc. (AVP)’s Chinese subsidiary bribed local officials with Gucci bags and foreign travel in order to sell products directly to the nation’s consumers, the U.S.A. said as the company ended a six-year federal investigation with a guilty plea and $135 million in fines.
Avon is also subject to a deferred prosecution agreement requiring it to adopt “rigorous” internal controls and avoid further violations for three years before the case will be dropped. The plea, which includes an outside monitor, was announced at a hearing today in Manhattan federal court.
The world’s largest door-to-door seller of cosmetics had said in May it would settle the probe. Its Chinese unit pleaded guilty to conspiring to violate U.S. anti-bribery law by falsifying records of a four-year scheme to pay off Chinese authorities, who ended a direct sales ban in 2006.

“For years in China it was ‘Avon calling,’ as Avon bestowed millions of dollars in gifts and other things on Chinese government officials,” said Manhattan U.S. Attorney Bharara today. “Avon China was in the door-to-door influence-peddling business and for years its corporate parent, rather than putting an end to the practice, conspired to cover it up.”

Regal Ware Moving Into Direct-Selling Mode

A century-old cookware manufacturer based in Kewaskum said it will sign a deal next week to sell products through a firm in China that does direct marketing to consumers, like Amway Corp. or Mary Kay Cosmetics in the United States.
Regal Ware Inc. says its products will be sold through a network of 2 million sales consultants worldwide and 2,500 storefronts in China. The marketer, Joymain Science & Technology Inc., had about $1.5 billion in sales this year and expects $2 billion in 2015, according to Regal Ware.
Joymain’s products include household and health items. The company has a U.S. affiliate, JM Ocean Avenue, that sells nutritional supplements and personal care items.
Most of the company’s business is in China, where Regal Ware also has sales but now stands to gain a much bigger share of the cookware market.
Regal Ware manufactures its products in Kewaskum and West Bend. More than half of the company’s sales are outside of the U.S., said David Lenz, senior vice president of sales and marketing.
Regal Ware says it expects to begin shipping products to Joymain in mid-2015. It was introduced to the Chinese firm through an international business broker.

“We understand the direct-sales business, and Joymain was very attracted to

Avon Wins Lawsuit Over China Bribery

Avon Products Inc on Monday won the dismissal of a securities fraud lawsuit accusing the cosmetics company of concealing its inability to stop workers from bribing officials in China to win business there.
U.S. District Judge Paul Gardephe in Manhattan found no showing that Avon, former Chief Executive Andrea Jung and former Chief Financial Strategy Officer Charles Cramb intended from 2006 to 2011 to deceive shareholders about the company’s knowledge of alleged bribery, such as through corrupt “dinner and karaoke” events, and dependence on bribes to boost sales.
In a 59-page decision, Gardephe also said Avon shareholders did not show the company intended to deceive them about its ability to comply with the federal Foreign Corrupt Practices Act, which prohibits bribing foreign officials.
The lawsuit was brought on behalf of shareholders from July 31, 2006 to Oct. 26, 2011, and had claimed that Avon’s corporate culture was “actively hostile” to effective oversight. Gardephe said the plaintiffs may amend their complaint if they wish.
Gregg Levin, a partner at Motley Rice representing the lead plaintiffs, did not immediately respond to requests for comment.
Jennifer Vargas, an Avon spokeswoman, said the New York-based company does not discuss pending litigation.

Herbalife Expanding It’s China Facilities

Herbalife Ltd. (NYSE:HLF), a leading global nutrition company, today announced plans to expand its manufacturing capabilities inChina, as it looks to increase its capacity in line with anticipated growth in this strategically important market. This would add to Herbalife’s existing manufacturing facilities in Suzhou, and its botanical extraction plant in Changsha.
Herbalife has identified an existing, newly built facility in Jiangning High-tech Industry Park (JHIP), Nanjing as the location for its newest manufacturing facility, due to the unique environment it provides for companies operating in the life science industries, as well as the relative speed to operation in having only to renovate an existing facility.
JHIP brings together companies from across the entire industry – research and development; incubation; small- and large-scale manufacturing; and marketing – to create and foster innovation and intellectual collaboration. Herbalife will invest up to $40MM USD in a first phase of development, to bring the facility up to the highest operating standards.
This first phase is expected to be complete and the facility operational by the end of 2015, with the potential for a second phase of development, given the size and flexibility of the facility. This new facility will ultimately provide up to 65% of the company’s total product requirements in China.

Lawsuit: Nu Skin Paid MLM Compensation To Chinese Distributors

Several former Chinese distributors of Nu Skin Enterprises, Inc. claim the marketer of skin care and nutritional supplements authorized sales representatives to earn compensation on their “downline” network in violation of the country’s regulations, according to a consolidated putative class-action complaint that was filed last month in Utah federal court against Nu Skin.
Nu Skin misled shareholders, orchestrating a “massive expansion in China knowing that Nu Skin’s form of multi-level compensation violated many of China’s regulations on direct selling and prohibitions on pyramid schemes,” the lead plaintiff State-Boston Retirement System, a government pension plan, alleged in the 124-page lawsuit filed on June 30.
Plaintiffs in the consolidated complaint have requested certification of a class of shareholders who purchased Nu Skin securities including options between May 4, 2011 and January 17, 2014. The end of the class period roughly coincides with a precipitous decline in Nu Skin’s stock price (NUS: NYSE), following revelations that the Chinese government was investigating its business practices.
Plaintiffs have alleged violations of Section 10(b) of The Exchange Act and Rule 10(b)(5), and Section 20(a) of The Exchange Act.
“We continue to believe the allegations are without merit and intend to defend ourselves vigorously,” Nu Skin spokesperson Kara Schneck said. “Nu
