Max International Is Looking For Investors – Public Offering

According to a SEC publication, Network Marketing Company Max International is looking for investors. The company sales are down for years. Max International owns several product patents.

“The company believes its portfolio of patented technologies and its market position as a recognized front-runner in glutathione research, development and distribution has enabled it to offer effective and cost-efficient glutathione boosting supplements.”

The company’s nutraceutical products focus on supporting naturally occurring cellular function and communications, which are the primary indicators of overall health and vitality. Max International’s product line is sold and distributed through: (i) direct-to-consumer (“DTC”) via e-commerce; (ii) healthcare professionals; (iii) affiliate sales (influencers); (iv) retail sales; and (v) Sales Associates.”

Year 2021 Revenue $37 Million
Year 2022 Revenue $25 Million
Year 2023 Revenue est. $15 Million

The company generated revenues of $8.8 million for the six months ended June 30, 2023 (“Interim 2023”), a decrease of 37.7% compared to $14.1 million in revenues for the six months ended June 30, 2022 (“Interim 2022”).

Ex CEO Max International Pleads Guilty To Tax Evasion

According to an article in the Deseret News:
The former CEO of a Utah-based nutrition supplement company pleaded guilty Thursday to tax evasion.
Peter Nordberg, 61, was indicted by a federal grand jury in January with two counts of attempted income tax evasion, each carrying a statutory minimum sentence of five years in prison. He pleaded guilty to one of the counts Thursday, admitting to not paying $275,790 in taxes over two years.
 The second count will be dismissed at a sentencing hearing Nov. 30, according to court documents.
Between September 2007 and December 2011, Nordberg served as the chief executive officer of Max International, a Utah-based multilevel marketing company that manufactures and sells nutritional supplements.
In addition to his annual salary of $331,336 in 2009, Nordberg received a portion of the company’s commissions as a bonus, bringing his income to $822,647, according to the indictment.
Federal prosecutors say Nordberg, a Draper resident at the time, set up a limited liability company in Delaware under the name MAX MLM Partners and had his bonuses deposited into an associated bank account. Nordberg directed employees at Max International to report the money as non-employee compensation.

Max International To Deepen Footprints In Ghana – Africa

 
Max International Ghana, the producers of wellness and weight-loss supplements and products, is embarking on an expansion drive as it intends to open three more branches across the country this year.
This is aimed at expanding the reach and footprints of the company to the other regions in the country.
The Assistant General Manager for Max International Ghana, Ms Miriam Mahama, said this in an interview with the Daily Graphic after a press soiree in Accra.
“Because we don’t have branches in every region, it is sometimes very difficult to get products to our associates in other regions and we are hoping to solve this problem by expanding our reach,” she said.
